Unless I am completely misreading your post, it sounds as if your 'board members' are not familiar with how a board of directors is legally structured and/or operates. You should have articles of incorporation and policies and procedures for the nonprofit readily available for your board to review, and if need be, your Secretary of State will mail you a copy of these which they hold on file. It is very important that all board members realize the importance of the role they play as both officers and stewards of the organization in question. In general, Board members are typically voted upon and/or appointed for a term of service. Membership on the board is a legal position of obligation, and the term director and/or officer is applied to this position. (Thus, the term Directors and Operators insurance). The Executive Committee is typically the Chair, Vice Chair, Treasurer, and Secretary. An Executive team is made up of Board Members who have been voted upon by a majority of board members to hold these positions. Therefore, by default, the Executive Team are certainly MEMBERS of the board in question. Many boards allow within their policies for committees to have non-members who assist with committee duties (many fundraising committees utilize numerous volunteers). Because these persons are not members they would be afforded no voting privileges.
