    Tony is correct.
    Interim persons should take great care when engaging in long-term and far-reaching decisions.

    He mentions the Attorney General for your state. In addition, the office of Secretary of State more often than not provides first-rate guidance to non-profits. Several free publications can be garnered for your board from these public offices.
    It would be wise to make use of them.

    I would also caution that although you term yourselves "interim" in the absence of other board representation, you are the 'board' for other legal considerations (for dramatic impact, for instance, if the organization was sued). Being thus, it is important to perform well in these matters. Your group should consult an attorney familiar with your own state's governance regarding nonprofit organizations. The cost of such advice is much like an insurance policy--a very necessary and wise thing to have. You can find one by referring to your local nonprofit association, or through a members directory for your State Bar.
